This document applies to WorkMentor and the WorkMentor services identified here. Customer contracts can provide additional detail for a specific service or deployment.
Agreement and contracting party
These Terms of Service apply to access and use of WorkMentor. By creating an organization, accepting an invitation, using a public feature, or otherwise accessing the service, you agree to these terms. If you act for an organization, you confirm that you have authority to bind it.
An order form, subscription confirmation, statement of work, data processing agreement, or other written contract may contain additional terms. If there is a conflict, the signed or expressly accepted commercial agreement controls for that subject.
Accounts and administrators
An organization is responsible for actions taken through its accounts unless caused by WorkMentor's breach of these terms. We may rely on instructions from verified owners and authorized administrators.
- Provide accurate account and organization information and keep it current.
- Keep passwords, two-factor methods, SSO access, API keys, and devices secure. Do not share a personal account between people.
- Organization owners and administrators control invitations, roles, hierarchy, integrations, modules, and access to customer data.
- Tell us promptly about suspected unauthorized access or compromised credentials.
The service
WorkMentor provides configurable software for people operations, attendance, leave, payroll, projects, timesheets, invoicing, recruitment, performance, accounting, expenses, assets, automation, security, and related workflows. Available modules, limits, support, infrastructure, and implementation services depend on the selected plan and agreement.
We may improve, replace, or discontinue a feature. We will use reasonable efforts to provide advance notice when a material change significantly reduces paid functionality during an active subscription, unless immediate action is needed for security, law, provider availability, or system integrity.
Customer data and instructions
As between the parties, the customer retains its rights in data submitted to WorkMentor. The customer grants WorkMentor a limited right to host, copy, transmit, process, and display that data only as needed to provide, secure, support, and improve the service and to meet legal obligations.
The customer is responsible for the legality, quality, accuracy, notices, consents, retention choices, and instructions associated with its data. This includes employee monitoring, payroll, tax, biometric attendance, recruitment, performance reviews, client invoices, and financial records.
Employment and business decisions
WorkMentor records workflows and can provide calculations, summaries, scores, reminders, and AI-assisted outputs. It does not act as an employer, payroll adviser, accountant, recruiter, lawyer, tax adviser, or decision maker. Customers must review outputs and remain responsible for employment, hiring, disciplinary, compensation, tax, accounting, payment, and compliance decisions.
Acceptable use
You must not, and must not allow another person to:
- Use WorkMentor for unlawful discrimination, harassment, surveillance, retaliation, fraud, or any activity that violates employment, privacy, tax, financial, sanctions, export, or other applicable law.
- Upload malicious code, probe or bypass security, disrupt the service, overload infrastructure, scrape restricted areas, or attempt unauthorized access.
- Use another person's credentials, misrepresent identity or authority, or access data outside the authorized organization and role.
- Copy, reverse engineer, resell, sublicense, frame, or build a competing service from WorkMentor except where law cannot restrict that activity or a written agreement permits it.
- Submit content that infringes rights, contains unlawful material, or exposes personal data without an appropriate basis.
Trials, subscriptions, and payment
- Plan features, trial duration, seat counts, prices, billing cycle, taxes, and currency are shown at purchase or stated in the order form.
- Paid subscriptions renew as stated during checkout or in the order form unless cancelled before the renewal date.
- The customer authorizes Stripe and WorkMentor to charge the selected payment method for due amounts. Stripe processes full payment card details.
- Fees are non-refundable except where the agreement or applicable law says otherwise.
- We may correct billing errors, apply taxes, and update future pricing with reasonable notice. A price change does not alter an already paid billing period unless agreed otherwise.
Third-party services and integrations
WorkMentor can connect with services such as Stripe and Google. A customer or user chooses whether to connect an optional integration and authorizes the related transfer of data. Third-party services are governed by their own terms and privacy notices. We are not responsible for a third party's service, content, changes, suspension, or data handling, but we remain responsible for our own obligations when using a provider on our behalf.
Intellectual property
WorkMentor and its licensors own the service, including its software, interface, documentation, brand, templates, and improvements. These terms give customers a limited, non-exclusive, non-transferable right to use the subscribed service during the subscription period for internal business purposes.
If you provide feedback, you permit us to use it without restriction or payment, provided we do not identify you or disclose confidential customer data in doing so.
Confidentiality and security
Each party will protect the other's non-public business, technical, and personal information using reasonable care and use it only for the relationship. Confidential information may be disclosed to personnel, affiliates, and providers who need it and are bound by suitable duties, or where law requires disclosure.
WorkMentor uses technical and organizational safeguards appropriate to the service. Customers remain responsible for endpoint security, role configuration, exports, integrations, and activity outside WorkMentor.
Suspension and termination
We may suspend access to prevent harm, address a security incident, comply with law, respond to non-payment, or stop a material breach. Where practical, we will notify the customer and limit the suspension to the affected account, feature, or activity.
Either party may terminate as allowed by the applicable subscription or written agreement. On termination, access ends and customer data is handled under the agreement, Privacy Policy, backup cycle, and legal retention requirements. Customers should export needed data before access ends.
Warranties and disclaimers
We will provide WorkMentor with reasonable care and skill. Except for an express commitment in a written agreement and to the extent law permits, the service is provided as available. We do not promise uninterrupted operation, that every defect will be corrected immediately, or that customer-provided data and decisions will be accurate or lawful.
Liability
Nothing in these terms excludes liability that cannot legally be excluded. Subject to that rule and any different limit in a signed agreement, neither party is liable for indirect, incidental, special, punitive, or consequential loss, or loss of profits, revenue, goodwill, or data, arising from these terms. Each party's aggregate liability is limited to fees paid or payable for the service during the twelve months before the event giving rise to the claim.
The limits apply to the maximum extent permitted by law and do not reduce a customer's duty to pay valid charges or responsibility for unlawful use, infringement, or breach of confidentiality.
Governing terms and disputes
The governing law and forum stated in the order form or written service agreement apply. If no governing terms are stated, the law applicable to the contracting WorkMentor entity applies, without regard to conflict-of-law rules. Before starting formal proceedings, the parties will try in good faith to resolve the dispute through authorized representatives, unless urgent relief is needed.
Changes to these terms
We may update these terms to reflect service, security, provider, or legal changes. We will post the revised date and give reasonable notice of a material change. Continued use after the effective date means the updated terms apply, unless a signed agreement requires another process.
